NEW YORK — William J. Carone has been named chairman of The He-Ro Group Ltd., replacing Matthew A. Berdon, a partner in the accounting firm of Ferro, Berdon & Co., who had been acting chairman since September 1993.

The company is continuing its search for a new chief executive officer to replace Herbert Rounick, the company’s founder and chairman who died in September.

Carone will also be an outside chairman and continue as senior vice president of Rosenthal & Rosenthal, a factoring company. He was senior vice president with Chemical Bank from 1968 to 1986 and from 1991 to 1993.

Carone joined He-Ro’s board on Jan. 1 after the resignation of Maria Ng, who had been vice chairman and president of the manufacturing division.

Carone said that with the recent completion of a new bank agreement, He-Ro is “well-positioned to move forward” with restructuring plans that call for a refocusing around core evening and special occasion wear businesses and retail outlet stores.

“We expect to initiate other actions in the near future that will continue the company’s progress toward this objective and a return to profitability,” he said.

The new banking agreement, reached last Friday, establishes a $20 million credit line.

In another development, Della Rounick, the wife of the late Herbert Rounick and designer of the company’s Niteline division, has joined He-Ro’s board of directors. She takes the slot vacated by Berdon. With the death of her husband, Rounick controls 68.4 percent of He-Ro’s stock, or 4.59 million shares.
