Women’s online network said Monday it has inked a definitive agreement to acquire all outstanding shares of Hearst-controlled rival,, in a stock-and-cash deal valued at about $47 million. The deal offers stockholders in Hearst and the chance to buy 9.3 million shares of iVillage and calls for Hearst to purchase from iVillage between $15 million and $21 million in ads and production services, over three years.
