NEW YORK — Global Sports Inc. has completed its acquisition of e-tailer Fogdog Inc. Under terms of the deal, which was announced in October, San Francisco-based Fogdog, a pure-play e-tailer, will be acquired by Global Sports, based in King of Prussia, Pa., in a stock exchange valued at about $25 million.
Under the terms of the transaction, Fogdog shareholders will receive 13.5 percent of a share of Global Sports common stock for each outstanding share of Fogdog common stock. Approximately five million shares of Global Sports common stock will be exchanged for all outstanding shares of Fogdog. Global Sports also will assume all outstanding options and warrants to purchase shares of Fogdog common stock.
Global Sports, which develops and operates the sports e-commerce units of specialty and mass retailers, and pure-plays, includes on its roster: Kmart-controlled BlueLight.com, QVC.com, buy.com, FoxSports.com, Oshmans.com, SportChalet.com, theathletesfoot.com and TheSportsAuthority.com.
